CONDITIONS GENERALES DE VENTE
1. Les prix proposés sont toujours sans engagement.
2. Pour être valables, nos ventes doivent toujours être confirmées par Biscuits Bofin NV. Les agents ou représentants au service de Biscuits Bofin NV ne possèdent pas les pouvoirs nécessaires ni pour engager la société ni pour recevoir paiement.
3. Les délais de livraison indiqués par nous ne sont donnés qu’à titre informatif et ne nous lient pas.
4. Les risques passent à l’acheteur dès que les marchandises vendues quittent nos installations fixes.
5. Les marchandises restent la propriété de Biscuits Bofin NV jusqu’au paiement total de la facture.
6. Grève, lock-out, panne et/ou bris de machine, interruption dans la distribution du gaz ou de l’électricité, incendie, et émeutes, ainsi que tous autres cas de force majeure, nous dispensent de livrer à la date indiquée, sans préjudice à l’article 3.
7. Toute réclamation pour être recevable doit nous être adressée par écrit dans les 48 heures de la livraison.
8. En ce qui concerne la livraison de la quantité commandée, nous nous réservons une marge de 15%.
9. Nos factures sont payables à 2580 Putte.
10. Le montant intégral de la facture doit être réglé à l’échéance. En cas de non-paiement intégral ou partiel, une indemnité de 15% sera appliquée sur le montant non réglé avec un minimum de 25 euro. En outre de intérêts de 10% seront dus de droit et sans mise en demeure et ce, à compter de l’échéance de la facture.
11. Une commande sur appel doit être réceptionnée dans les trois semaines, sinon la quantité non réceptionnée sera facturée et elle deviendra payable à la date normale.
12. Nous ne pouvons nullement être rendus responsables des emballages mis à notre disposition par les clients et qui restent leur propriété. Les emballages spéciaux commandés pour le client, mais non utilisés lui seront portés en compte séparément.
13. Toute contestation doit être soumise d’après le cas soit au tribunal de commerce de Mechelen soit au juge de paix de Heist-op-den-Berg.
Seules les clauses reproduites ci-dessous gouvernent nos ventes, à l’exclusion de toutes stipulations contraires de l’acheteur, lesquelles ne peuvent jamais neutraliser nos conditions.

GENERAL CONDITIONS OF SALE
1. All prices quoted are without obligation.
2. Biscuits Bofin NV shall not be bound by any sale not confirmed by it in writing. Neither the agents nor the representatives employed by Biscuits Bofin NV are authorized to bind Biscuits Bofin NV nor to accept payments on its behalf.
3. Delivery dates are given by way of indication only and shall not be binding Biscuits Bofin NV.
4. The risks in all goods shall pass to the Purchaser from the time the goods leave Biscuits Bofin NV’s premises.
5. All goods remain the property of Biscuits Bofin NV until the receipt of payment in full.
6. Without prejudice to clause 3 hereof, Biscuits Bofin NV shall not be requited to deliver on a stated date where prevented from doing so by reason of strike, lock-out, machinery breakdown, interruption of gas or electricity supply, fire, civil disorder, or any other situation of force majeure.
7. To be eligible potential claims shall be addressed in writing to Biscuits Bofin NV within 48 hours following delivery of the goods.
8. Biscuits Bofin NV reserves the right to a tolerance of 15% either way on all quantities to be delivered.
9. All invoices are payable at 2580 Putte, Belgium.
10. All invoices shall be paid in full on the due date. Where the whole or any part of any remains unpaid after the due date, the Purchaser shall be liable to pay a flat-rate indemnity of 15% of the amount outstanding, or the sum of 25 euro, whichever is the greater. In addition to the foregoing, unpaid invoices shall also bear interest in arrears of 10%, automatically and without the need for notice, from the date upon which the invoice falls due.
11. Orders accepted over the telephone must be checked and delivery thereof taken within three weeks, falling which the Purchaser will be invoiced for that part of the order of which he has not taken delivery, the invoice falling due at its normal date.
12. Under no circumstances whatever can Biscuits Bofin NV accept liability for packing and packaging made available to it by its customers and remaining the property of those customers. Customers will be invoiced separately for all special packing and packaging ordered on their behalf but not used by them.
13. All disputes arising shall be referred either to the Mechelen Commercial Court or the Justice of the Peace of Heist-op-den-Berg, as appropriate.
14. All agreements to sell contracted by Biscuits Bofin NV are subject to the foregoing clauses only, to the entire exclusion of any conflicting trading conditions of the Purchaser, which shall not, under any circumstances, cancel any of the foregoing Conditions of Sale.

ALGEMENE VERKOOPSVOORWAARDEN
1. De aangeboden prijzen zijn steeds vrijblijvend.
2. De verkopen moeten, om geldig te zijn, steeds door Biscuits Bofin NV goedgekeurd worden. Agenten of vertegenwoordigers in dienst verkoper bezitten niet de volmacht ons te verbinden, nog om betalingen te innen.
3. De door ons opgegeven leveringstermijnen gelden enkel ter inlichting en zijn niet bindend.
4. De risico’s voor de verkochte koopwaren gaan op de koper over zodra de goederen onze opslagplaatsen verlaten.
5. Het eigendom van de koopwaren wordt aan de Biscuits Bofin NV voorbehouden totdat de volledige betaling van de koopprijs is geregeld.
6. Stakingen, lock-out, machinedefect, onderbreking van gas- en elektriciteitsbevoorrading, brand en onlusten alsmede gevallen van overmacht, ontheffen ons om op de vooropgestelde datum te leveren, zonder afbreuk te doen aan artikel 3.
7. Om geldig te zijn moeten eventuele klachten ons schriftelijk overgemaakt zijn binnen 48 uur na de levering.
8. Met betrekking tot de levering van het bestelde kwantum behouden wij ons een tolerantie voor 15%.
9. Onze facturen zijn betaalbaar te 2580 Putte.
10. Het volledige bedrag van iedere factuur dient betaald op de vervaldag. In geval van niet-betaling van het volledige bedrag of van een deel ervan zal een forfaitaire 15% schadevergoeding worden toegepast, berekend op het onbetaald gebleven factuurbedrag met een minimum van 25 euro. Vanaf de vervaldag van de facturen zal verder van rechtswege en zonder ingebrekestelling rente van 10% verschuldigd zijn.
11. Een bestelling op afroep moet binnen de drie weken volledig worden afgenomen, zoniet wordt de niet-afgenomen hoeveelheid gefactureerd en dient op de normale datum betaald te worden.
12. Wij kunnen geenzins verantwoordelijk gesteld worden voor de verpakkingen welke klanten ons ter beschikking stellen en waarvan zij de eigenaar zijn. De speciale verpakking voor de klant besteld en door deze laatste nier volledig opgebruikt, zal separaat in rekening gebracht worden.
13. Elke betwisting moet onderworpen worden aan de Handelsrechtbank te Mechelen of aan de Heer Vrederechter te Heist-op-den-Berg, naargelang het geval.
14. Alleen bovenstaande clausules zijn geldig voor onze verkopen, zulks met uitsluiting van alle tegenstijdige bepalingen van de koper, welke hieraan nooit afbreuk zullen kunnen doen.
